1. Introduction & Scope of Service

Welcome to Meridukan.app. We provide a Software-as-a-Service (SaaS) platform that enables local shopkeepers to manage their billing, inventory, and online orders. By using our platform, you acknowledge that Meridukan.app is purely a Technology Provider and not a seller, manufacturer, or delivery service provider.

2. Terms for Shopkeepers (Merchants)

As a subscriber to our software, you agree to the following:

• Software License: You are granted a limited, non-transferable license to use our software for business management upon payment of the subscription fee.
• Responsibility for Products: You are solely responsible for the quality, price, and authenticity of the products listed on your shop profile. Meridukan.app does not hold inventory.
• Delivery Management: Since delivery personnel are managed or employed directly by you (the Shopkeeper), you are fully responsible for their conduct, safety, and timely delivery of orders. Meridukan.app is not liable for delivery disputes.
• Legal Compliance: You must possess valid business licenses (GST, FSSAI, Shop Act, etc.) as required by Indian law to sell goods.

3. Subscription & Billing Policy

• Platform Fees: Shopkeepers must pay the activation/subscription fee to access the software features. These fees are for software usage only.
• Validity & Renewal: The service is active for the duration of the plan selected (e.g., 30 days, 1 year). Service will be suspended if the plan expires and is not renewed.
• Refunds: Subscription fees paid to Meridukan.app are non-refundable once the service activation is processed, as this is a digital service.

4. Terms for Customers (End Users)

For customers placing orders via the Shopkeeper's app link:

• Buying from Merchant: You understand that you are purchasing directly from the Shopkeeper, not from Meridukan.app. The Shopkeeper is responsible for the product quality and invoice.
• Order Fulfillment: Acceptance of orders and delivery timelines are decided by the Shopkeeper. Meridukan.app cannot force a shopkeeper to accept an order.
• Disputes: Any issues regarding food quality, missing items, or delivery delays must be resolved directly with the Shopkeeper.

5. Delivery & Safety Guidelines

To ensure a safe environment for everyone:

• Shopkeeper Responsibility: Shopkeepers must ensure their delivery staff follows traffic rules and safety hygiene protocols.
• Customer Safety: We advise customers not to share OTPs or personal financial details with delivery boys.
• Zero Tolerance: Using the platform for delivering illegal items (drugs, alcohol without license, weapons) is strictly prohibited and will be reported to legal authorities.

6. Limitation of Liability

NMC India disclaims liability for:

• Any injury, loss, or damage arising from the delivery process (as delivery is managed by the Shopkeeper).
• The quality, safety, or legality of items sold by Shopkeepers using our software.
• Technical downtimes caused by internet issues or third-party server outages, though we strive for 99% uptime.

7. Data Privacy & Security

Your data security is our priority:

• Data Ownership: Shopkeepers retain ownership of their customer data. Meridukan.app stores this data securely to facilitate software functions.
• Encryption: All transaction data and personal information are transmitted using secure encryption protocols.
• No Data Selling: We do not sell shopkeeper or customer data to third-party marketing agencies.

8. Intellectual Property Rights

The source code, design, logos, and algorithm of the Meridukan.app platform are the sole property of the company. Shopkeepers are not allowed to copy, reverse-engineer, or resell the software license to others.

9. Account Termination

Meridukan.app reserves the right to suspend or terminate the account of any Shopkeeper found:

• Listing illegal or prohibited items.
• Engaging in fraudulent transactions.
• Harassing customers or misusing the software.

10. Governing Law & Jurisdiction

These terms are governed by the laws of India. Any legal disputes regarding the software service shall be subject to the exclusive jurisdiction of the courts India.
